Direct Realty Securities, Inc, (“DRSI”), may offer direct participation program securities wherein U.S. Realty Partners, Inc., (“USRP”) or its principal, Jay Kerner, or their affiliates are the sponsor or co-sponsor of the investment. There is the potential for substantial corflicts of interest between DRSI and USRP as Mr. Kerner is the principal of both companies.
